Number, Selection, and Tenure.    The Board shall consist of not less than three (5) directors.  Each director shall hold office for a term of five (5) years with a maximum of two consecutive terms. Vacancies existing by reason of resignation, death, incapacity or removal before the expiration of his/her term shall be filled by a majority vote of the remaining directors.  In the event of a tie vote, the Chairman shall choose the succeeding director.  Directors will elect their successors.  A director elected to fill a vacancy shall be elected for the unexpired term of that director’s predecessor in office.

  1. One board member from each, Four Year Institution, that has obtained “Center of Academic Excellence.” Status with the National Security Agency and is a full member of IC-SEC.
  2. Two board members representing the mapped, full membership community colleges.
  3. The ex-Chairperson, shall remain on the Board of Directors for one term.
  4. The Board of Directors, in manner prescribed by resolution, may establish special categories of membership and, from time to time, select persons to serve as such special members of the Board of Directors.

 

 

Resignation.  Resignations are effective upon receipt by the Secretary of the Corporation of written notification.  Failure to attend at least three consecutive regularly scheduled meetings without an excused absence shall be interpreted as a resignation for the Board.  Such Vacancies shall be filled in a manner prescribed by resolution of the Board of Directors, or as specified in the Articles of Incorporation.

 

Regular Meetings.  The Board of Directors shall hold at least two (2) regular meetings per calendar year.   Meetings shall be at such dates, times and places as the Board shall determine.

 

Special Meetings.  Meetings shall be at such dates, times and places as the Board shall determine.

 

Notice.  Meetings may be called by the Chairperson or at the request of any two (2) directors by notice emailed, mailed, telephoned, or telegraphed to each member of the Board not less than forty-eight (48) hours before such meeting.
